1. DEFINITIONS
For the purposes of this Privacy Policy, unless the context otherwise requires:
- "Company" means Biz Secure Labs Pvt. Ltd., India, the owner and developer of Net Protector Antivirus (NPAV).
- "Dealer" / "Distributor" / "Partner" means any individual, proprietorship, partnership, company, or entity authorized by the Company to sell, distribute, promote, or manage NPAV products and services.
- "Business Data" means information relating to the Dealer/Distributor collected by the Company, including but not limited to business identity, contact details, transaction records, and system usage data.
- "Services" means NPAV products, dealer portals, distributor dashboards, APIs, applications, licensing systems, and related support services provided by the Company.
- "Applicable Law" means all applicable data protection, privacy, and information technology laws in force in India and other relevant jurisdictions.
2. SCOPE AND APPLICABILITY
- This Privacy Policy governs the collection, use, processing, storage, disclosure, and protection of Business Data of Dealers and Distributors in connection with their commercial relationship with the Company.
- This Policy is strictly business-to-business (B2B) in nature and does not apply to end customers or end users of NPAV products.
- By registering as a Dealer/Distributor, accessing Company systems, or using the Services, the Partner acknowledges that it has read, understood, and agreed to this Privacy Policy.
3. INFORMATION COLLECTED
The Company may collect and process the following categories of Business Data:
3.1 Business and Contact Information
- Legal business name and trade name
- Registered and operational address
- Official email address(es) and telephone number(s)
- Authorized contact person details
- GST, VAT, PAN, or other tax identifiers (where required)
- Dealer/Distributor codes, credentials, and account identifiers
3.2 Transaction and Commercial Data
- License key allocations, sales, activations, renewals, and transfers
- Order history, invoices, commissions, incentives, and settlement records
- Dealer portal activity related to licensing and customer management
3.3 Technical and Usage Data
- Login records, timestamps, and access logs
- IP address, device information, and browser/app details
- Security, audit, and fraud-prevention logs
4. PURPOSE OF DATA PROCESSING
The Company processes Business Data for the following lawful purposes:
- To establish, manage, and administer the Dealer/Distributor relationship.
- To provide access to dealer portals, dashboards, APIs, and licensing systems.
- To enable license issuance, activation tracking, renewals, and reporting.
- To communicate operational updates, policy changes, pricing, and support information.
- To monitor compliance with dealer agreements, prevent misuse or fraud, and ensure system security.
- To comply with statutory, regulatory, accounting, audit, and legal obligations.
5. LEGAL BASIS FOR PROCESSING
Business Data is processed on one or more of the following legal bases:
- Performance of a contract or business arrangement with the Dealer/Distributor;
- Compliance with legal and regulatory obligations;
- Legitimate business interests of the Company, including security, fraud prevention, and operational efficiency;
- Consent, where expressly obtained.
6. DATA SHARING AND DISCLOSURE
- The Company may share Business Data only on a need-to-know
basis with:
- Authorized employees and internal teams;
- Third-party service providers (hosting, analytics, communication, payment, or support services) under confidentiality and data protection obligations;
- Group companies or affiliates for internal administration;
- Government authorities, regulators, or law enforcement agencies where required by Applicable Law;
- Successors or transferees in the event of merger, acquisition, restructuring, or business transfer.
- The Company does not sell Dealer/Distributor Business Data to third parties.
7. DATA RETENTION
- Business Data shall be retained for:
- The duration of the Dealer/Distributor relationship;
- Such additional period as required under Applicable Law;
- Legitimate business and audit purposes.
- Upon termination of the relationship, data may be archived or anonymized unless deletion is legally required or permitted.
8. DATA SECURITY
- The Company implements reasonable administrative, technical, and
organizational safeguards to protect Business Data, including:
- Secure access controls and authentication;
- Encrypted data transmission;
- Monitoring, logging, and periodic security reviews.
- Dealers/Distributors are responsible for safeguarding their login credentials and preventing unauthorized access to Company systems.
9. RIGHTS OF DEALERS AND DISTRIBUTORS
Subject to Applicable Law, Dealers/Distributors may:
- Request access to their Business Data;
- Request correction of inaccurate or outdated information;
- Request restriction or deletion of data, where legally permissible;
- Withdraw consent, if processing is based on consent.
Requests may be subject to verification and contractual limitations.
10. CROSS-BORDER DATA TRANSFER
Where Business Data is processed or stored outside India, the Company shall ensure appropriate safeguards consistent with Applicable Law and industry standards.
11. AMENDMENTS
The Company reserves the right to amend this Privacy Policy from time to time. Updated versions shall be communicated through official channels or partner portals.
12. GOVERNING LAW AND JURISDICTION
This Privacy Policy shall be governed by and construed in accordance with the laws of India. Courts having jurisdiction at Nagpur, Maharashtra, shall have exclusive jurisdiction.
